Aureus Greenway Holdings Inc. (Nasdaq: AGH) and Autonomous Power Corporation, doing business as Powerus, announced a definitive merger agreement on March 9, 2026. The combined company will operate as Powerus Corporation and trade on Nasdaq under the ticker “PUSA” upon deal close, expected in summer 2026.

Autonomous Drone Systems Built for High-Risk Environments

Powerus focuses on acquiring, integrating, and scaling autonomous drone systems for defense, critical infrastructure, and precision agriculture. The company operates through three wholly-owned subsidiaries: Kaizen Aerospace, Inc., which develops heavy-lift UAS platforms capable of 500-pound-plus payloads; Tandem Defense LLC, which builds tactical defense platforms; and Agile Autonomy LLC, which specializes in maritime surveillance systems. All manufacturing is U.S.-based. Powerus co-founders include former U.S. Army Special Operations veterans with direct deployment experience in active conflict environments.

“Powerus was built by individuals who have spent years operating in active combat environments where this technology must perform,” said Brett Velicovich, Co-Founder of Powerus and a former U.S. Army special operations veteran. “We know what works, we’ve seen what fails, and what operators relying on these systems actually need because we have been alongside them in battle. That knowledge shapes every decision we make. The opportunity in front of us is significant, and we intend to capture it.”

Financing and Strategic Partnerships

The Korea Climate & Governance Improvement Fund (KCGI), a Seoul-based private equity platform, committed $50 million to purchase Powerus common stock by April 6, 2026. KCGI will also support Powerus’s access to an allied-nation supply chain network, reducing reliance on non-allied-nation suppliers. Separately, AGH closed a $9,029,002 private placement at $3.00 per share, with investors including Unusual Machines, Inc. (NYSE American: UMAC) and the Agostinelli Group.

Matthew J. Saker, Interim CEO of AGH, framed the deal in geopolitical terms: “The need for and uses of autonomous technologies, such as those produced by Powerus, are front page news given developments in the Middle East and elsewhere. The UAS platform they are building addresses large-scale, real-world demand, and it is being built by people who have seen that demand firsthand.”

Precision Agriculture Applications

Following the merger, AGH’s Florida golf course properties — Kissimmee Bay Country Club and Remington Golf Club — may serve as operational proving grounds for Powerus precision agriculture drone systems. The WSJ reports the deal involved President Trump’s children, who are existing investors in AGH.

The merger received unanimous approval from both boards of directors and a majority of each company’s stockholders. Closing remains subject to customary regulatory approvals and an effective Form S-4 registration statement.
